Terms of Use

1) Overview

These Terms govern access to and use of PassLink Pro's web and mobile interfaces, kiosk flows, and related APIs (the Service). By using the Service, you agree to these Terms. If you are a Community admin entering into these Terms on behalf of a Community, you represent that you have authority to bind the Community. Additional community-specific agreements may apply.

2) Acceptable Use

1. Do not use the Service for unlawful purposes or to violate property rules.
2. Do not upload content you lack rights to share (e.g., third-party IDs without consent).
3. Do not interfere with or disrupt the Service or attempt to bypass access controls.
4. Do not misuse QR codes or access credentials, including attempting entry at unauthorized times/places.
5. Do not send marketing or promotional messages via the Service without proper consent.

We may investigate and suspend or terminate access for violations.

3) Messaging & Consent

• Communities are responsible for collecting any required consent to send SMS/email to visitors.
• PassLink Pro may process opt-outs and deliverability events on the Community's behalf.
• You must not import or message phone numbers without appropriate permission.

4) Community Content & Data

As between you, the Community, and PassLink Pro:

• The Community owns visitor records and other content it submits to the Service.
• You grant PassLink Pro a license to host, process, transmit, and display that content solely to provide and improve the Service.
• PassLink Pro may de-identify and aggregate data for analytics and to improve features, provided no individual is identified.

5) Integrations & Hardware

The Service may integrate with third-party systems (e.g., messaging, email delivery, access control platforms, cameras, kiosks). We are not responsible for third-party services or for network connectivity at the property. The Community is responsible for configuring and maintaining any hardware.

6) Availability & Changes

We aim to keep the Service available and evolving. Features may change, and we may suspend or limit the Service to perform maintenance, address security issues, or comply with law. If we discontinue material functionality, we will provide reasonable notice where practicable.

7) Fees & Payment

If applicable, fees are set forth in a separate order form or agreement with the Community. Unpaid amounts may result in suspension after notice.

8) Disclaimers

THE SERVICE IS PROVIDED “AS IS.”

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9) Limitation of Liability

To the maximum extent permitted by law, neither PassLink Pro nor its suppliers will be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages. Our aggregate liability for all claims relating to the Service will not exceed the amounts paid to us by the Community for the Service in the 12 months before the event giving rise to liability.

10) Indemnification

You agree to indemnify and hold PassLink Pro harmless from claims arising out of your misuse of the Service, violation of these Terms, or infringement/misappropriation of third-party rights.

11) Term; Suspension; Termination

These Terms remain in effect while you use the Service. We may suspend or terminate access for violations of these Terms, suspected fraud/abuse, or at the Community's request. Upon termination, your right to access the Service ends, but provisions that by their nature should survive (e.g., Sections 8–12) will survive.

12) Governing Law & Dispute Resolution

These Terms are governed by the laws of Florida, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Lee County, Florida will have exclusive jurisdiction over any dispute arising out of or relating to the Service or these Terms, and you consent to personal jurisdiction and venue in those courts.

13) Changes to the Terms

We may update these Terms from time to time. Continued use after changes become effective constitutes acceptance. If the changes are material, we will provide reasonable notice.
